These Terms & Conditions govern quotations, orders, sales, deliveries and services provided by A.B.S Metals – Antranik Baljian and Sons Metals (the “Company”). By placing an order with the Company, the customer accepts these Terms & Conditions unless otherwise expressly agreed in writing. Any conflicting or additional terms proposed by the customer shall apply only if expressly accepted by the Company in writing.
Unless expressly stated otherwise, quotations are non-binding and remain valid only for the period indicated therein. Prices may be adjusted to reflect changes in metal and raw material prices, exchange rates, freight, insurance, customs duties, taxes or other charges occurring before final order confirmation. An order becomes binding on the Company only upon written confirmation.
Delivery dates are estimates given in good faith and shall not be considered binding unless expressly confirmed in writing. Partial deliveries may be made where appropriate. Risk in the goods passes to the customer upon delivery or, where transport is arranged, upon handover to the carrier in accordance with the applicable agreed delivery terms. Delays caused by suppliers, carriers, shipping lines, customs authorities, port congestion or other third parties do not automatically entitle the customer to cancellation or compensation.
Products are supplied according to the specifications agreed in the relevant quotation or order confirmation and, where applicable, to recognized international standards such as EN, ASTM, DIN, ISO or equivalent standards. Normal manufacturing tolerances relating to dimensions, weight, thickness, surface condition, chemical composition and mechanical properties shall apply in accordance with the relevant standard.
The customer must inspect the goods promptly upon receipt. Visible shortages, transport damage or apparent non-conformities should be reported immediately and recorded on the relevant transport documentation where applicable. Other claims must be submitted in writing within a reasonable period after discovery and, whenever possible, before the goods are processed, modified, installed or resold.
Unless expressly agreed otherwise, the customer remains responsible for determining whether the products are suitable for their intended application. Any technical information or assistance provided by the Company is given in good faith on the basis of the information available and does not relieve the customer from carrying out its own technical assessment.
Invoices are payable in accordance with the payment terms stated in the relevant quotation, order confirmation or invoice. The Company reserves the right to suspend deliveries, withhold further performance or request additional payment guarantees where amounts are overdue or where the customer's creditworthiness materially deteriorates.
To the extent permitted by applicable law, goods supplied by the Company remain its property until full payment of the corresponding purchase price and all related amounts due in connection with the relevant transaction.
Subject to applicable mandatory law, the Company's liability in respect of defective or non-conforming goods shall be limited, at the Company's option, to replacement of the affected goods, appropriate corrective action or reimbursement of their invoice value. The Company shall not be liable for indirect, incidental or consequential losses, including loss of profit, production, business opportunity or contracts, except where such limitation is prohibited by law.
The Company shall not be responsible for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, war, civil unrest, strikes, governmental measures, sanctions, import or export restrictions, shortages of raw materials or energy, transport disruption, shipping delays, port congestion or similar events.
Information, photographs, dimensions, technical data, product descriptions and other content published on this website are provided for general information purposes. They may be modified without prior notice and do not constitute a binding commercial offer or contractual specification unless expressly incorporated into a written quotation or order confirmation issued by the Company.
Where specific conditions are stated in a quotation, order confirmation, invoice, contract or other written agreement issued or accepted by the Company, those specific conditions shall prevail over these general Terms & Conditions to the extent of any inconsistency.
